We routinely represent insurance entities before the Ohio Department of Insurance on a number of regulatory matters, such as agent disciplinary proceedings, insurance company and health insuring corporation formations and restructurings, investment law interpretation, statutory deposit questions, amendments to articles and regulations of insurers, reinsurance contracts, and insurance agency formation and licensing.  In addition, we provide our clients with representation in the Ohio General Assembly in connection with legislative proposals related to insurance issues. We also represent a trade association of Ohio property and casualty insurance companies and nonprofit entities engaged in insurance education.

Insurance Company Formation and Operation

Our lawyers have helped to form many Ohio-domiciled stock life, health insuring corporations, property/casualty, and reinsurance companies.  In so doing, we work closely with the Exam-Audit Division of the Ohio Department of Insurance and consult with clients on investments, agency appointment, policy form, and rate filings.  We also assist clients with their Forms A, B, and D and other notices and filings in Ohio.

Admissions

We often represent foreign life and property/casualty insurers seeking admission into Ohio.  In that capacity, we interact with the Exam-Audit and Legal Divisions of the Ohio Department of Insurance and address issues such as guarantees by corporate parents of the capital and surplus of the insurer seeking admission.

Redomestications

Our insurance lawyers have worked on redomestication of insurance companies from foreign companies to Ohio companies and from Ohio companies to foreign companies.  These transactions require coordinating work with the departments of insurance and other governmental agencies in the domiciliary state, as well as the departments of insurance in all states in which the redomesticating company is admitted.  Our lawyers have knowledge about and experience with the issues that typically arise, including the licensing of agents, permissible investments under the investment laws of the old and new states of domicile, and the ability to write new and/or renewal business pending approval of the transaction.

Rehabilitations and Insolvencies

Our firm has represented the Ohio Department of Insurance, “troubled” insurers, and claimants in connection with insurer rehabilitations and insolvencies.  Our lawyers regularly have interpreted Ohio’s insurer insolvency laws, negotiated work-out proposals, and litigated contested court proceedings.
