In recent years, the volume and sophistication of public finance transactions has increased dramatically.  Our attorneys have the knowledge, creativity, experience, and skills needed to handle even the most complex forms of public finance transactions.

Our firm issued its first bond counsel opinion in 1974, and we have been listed in the publication that lists approved national bond counsel, The Red Book, since 1977.  Over the past three decades, we frequently have served as bond counsel as well as underwriter’s counsel, issuer’s counsel, letter of credit bank counsel, liquidity facility and/or credit facility counsel, borrower’s counsel, and trustees’ counsel.  Our lawyers have participated in hundreds of bond issues involving billions of dollars and are active in the National Association of Bond Lawyers and the Annual Bond Attorneys Workshop. 

Bond Counsel

Our attorneys have acted as bond counsel for many bond transactions, including transactions involving the State of Ohio, agencies of the State of Ohio, counties, cities, villages, public school districts, state universities and colleges, port authorities, library districts, cultural facilities, health care facilities, private schools, and issuers of industrial revenue bonds. 

In the economic incentives arena, we have worked with developers and public bodies on tax increment-supported financings involving billions of dollars.  In the health care finance arena, our firm has broad expertise in regard to financings for hospitals, health systems, skilled nursing homes, assisted living facilities, and congregate care communities. 

Underwriter’s Counsel

We have acted as underwriter's counsel on a host of different types of transactions.  We have acted as counsel to underwriters for airport financings, state infrastructure financings, cultural facility financings, higher education financings, health care financings, and all other types of financings involving public bodies.

Our firm has broad expertise in advising underwriters in connection with  both private placements and public offerings.  Our attorneys have an extensive background in the federal securities laws that apply to such transactions, along with expertise in compliance with Blue Sky laws, disclosure requirements, and other issues that may arise in connection with the underwriting of public finance transactions.

Our attorneys have worked with underwriters from Merrill Lynch, Solomon Smith Barney, Inc., Morgan Stanley, Seasongood & Mayer, LLC, KeyBank, NatCity Investments, UBS, Goldman, Sachs & Co., A.G. Edwards & Sons, Inc., Butler Wick, RBC Dain Rauscher, and several others.

Other Roles

Our firm also has acted as issuer’s counsel for counties, port authorities, and other types of issuers.  In addition, we have served as letter of credit bank counsel, liquidity facility and/or credit facility counsel, borrower’s counsel, and trustee’s counsel on a number of transactions.
